Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DPP.GS platform provided by Smart DRS Limited (company no. 790140), 70 Sir John Rogerson's Quay, Dublin 2, Ireland ("Smart DRS", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of the organisation you represent.

2. Account registration and eligibility

The Service is intended solely for business and professional use. By registering you represent that you are at least 18 years old, are acting on behalf of a business, and are authorised to bind that business. You must provide accurate registration information, keep it up to date, and keep your credentials and API keys confidential. You are responsible for all activity under your account.

3. The Service and Plans

The Service enables manufacturers, importers and other economic operators to create and publish EU Digital Product Passports in support of regulatory frameworks including the Ecodesign for Sustainable Products Regulation (ESPR, 2024/1781), the EU Battery Regulation (2023/1542) and the Packaging and Packaging Waste Regulation (PPWR, 2025/40). We offer a Free Plan and paid Plans (Starter, Growth, Scale). Plan features and limits are described at the point of sign-up and may be updated from time to time.

The Free Plan allows creation of up to 2 GTINs and is provided "as is", without any service commitment. We may modify or discontinue the Free Plan at any time.

7. Customer Content and intellectual property

As between the parties, you own all rights in your Customer Content, including your passport data. You grant Smart DRS a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce and display Customer Content solely to operate and provide the Service — including publicly displaying the Digital Product Passports you choose to publish through the public viewer, and delivering them via our EU and US infrastructure. This licence ends when the relevant Customer Content is deleted, except that already-issued public passport links and cached copies may persist for a reasonable period and public passports may need to remain accessible for the regulatory lifetime of the product.

The Service, including its software, design, trademarks and documentation, is owned by Smart DRS Limited and/or the Sensoneo group and is protected by intellectual property laws. No rights are granted to you except the limited right to use the Service in accordance with these Terms.

9. Accuracy and compliance disclaimer

The Service is a tool to help you create and publish Digital Product Passports. You are solely responsible for the accuracy, completeness and legality of the passport data you enter and for your own regulatory compliance (including under ESPR, the EU Battery Regulation, PPWR and any other applicable law). We do not verify Customer Content, do not provide legal advice, and do not warrant that use of the Service will ensure compliance with any legal obligation.

10. Availability and support

We aim to provide a reliable Service but do not guarantee uninterrupted availability. For paid Plans we target 99.9% monthly availability, measured excluding scheduled maintenance and events outside our reasonable control; this target is an operational goal and does not by itself create a right to service credits. The Free Plan is provided without any availability commitment.

Target first-response times are two business days for the Starter Plan and one business day for the Growth and Scale Plans. We may perform scheduled maintenance and will use reasonable efforts to give advance notice and minimise disruption.

11. Suspension and termination

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay Fees, or use the Service in a manner that poses a security or legal risk. On termination, your right to use the Service ends and we will handle Customer Content in accordance with our Data Processing Agreement.

12. Disclaimer of warranties

Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all implied warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the Fees paid by you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

14. Indemnity

You agree to indemnify and hold harmless Smart DRS Limited and the Sensoneo group against claims, damages and costs arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law.

15. Governing law and disputes

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction, without prejudice to any mandatory consumer-protection or statutory rights. The parties will first attempt to resolve any dispute amicably by contacting [email protected].

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or through the dashboard with reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.
